CONTENT CREATORS AND PROPERTY BUILDERS, SD ENTERTAINMENT, LAUNCHES INTERACTIVE AND LICENSING DIVISIONS

LOS ANGELES, CA – February 5, 2002 – SD Entertainment, a content creator and property builder, announces the formation of two new divisions, interactive and licensing, to be spearheaded by Michele Martell, it was announced by Paul Sabella and Jonathan Dern, principals, SD Entertainment. Martell, veteran of The Jim Henson Company and a strategic alliance and business innovator, brings her expertise in forging multi-platformed partnerships to SD.

In its first venture under the licensing division, SD will become the domestic master toy licensing agent and television representative for Make Way for NODDY . This is an expansion of SD's role with renowned UK-based international rights group, Chorion IP, in the development of the Make Way for NODDY franchise. Underscoring SD's role as a content provider and property builder, SD will seek television distribution outlets as well as licensing and merchandising partnerships for the new CGI series. Currently, SD has produced 100 episodes as well as books for this celebrated property. The new series updates the famed Emmy Award-winning preschool series, Noddy , based on the popular and treasured characters created by children's author Enid Blyton.

Michele Martell's global expertise has merged the worlds of distribution, content, production and marketing. In her role as Senior Vice President and General Counsel, Martell oversees the licensing, marketing, interactive and legal divisions at SD. Prior to SD, Martell was Vice President, Business Affairs and Interactive Business Development for The Jim Henson Company. At Henson, she was initially responsible for business and legal affairs for the Television group, working on Bear in the Big Blue House , The Wubbulous World of Dr. Seuss , Farscape and Brats of the Lost Nebula , among others. She segued to the Interactive group, managing business affairs and business development for all digital applications for Henson properties.

Additionally, Martell was responsible for supervising the business affairs for all domestic and international consumer products, publishing, marketing, home video, promotional, interactive, music and live event deals. Prior to The Jim Henson Company, she was a Senior Attorney at Turner Network Television, and was an attorney in private practice specializing in entertainment finance.
